Terms & Conditions

By commissioning freelance, contracting, or consulting services from Rohan Shahzad ("Developer"), you ("Client") agree to the terms set forth herein, alongside the specific project scope, timeline, and pricing detailed in your project proposal or Statement of Work (SOW).

Development officially commences once: (1) both parties mutually confirm the project proposal in writing, and (2) the agreed initial project deposit or escrow milestone has been funded.

To ensure transparency and mutual confidence, project billing is organized around clear milestone checkpoints:

• Standard Phased Milestones: Standard engagements operate on a 50% commencement deposit and 50% completion balance, or structured 3-stage releases (30% deposit / 40% functional demo / 30% deployment handoff) for complex builds.
• Payment Methods: Invoices are issued in USD and payable via Stripe invoice, Wise bank transfer, direct ACH/Wire, or verified Escrow (e.g. Upwork Enterprise).
• Invoicing Terms: Milestone balances are due within 7 business days of deliverable presentation and sign-off.

Timely project completion depends on active collaboration between the Client and Developer:

• Asset Provision: The Client is responsible for supplying brand design assets (logos, vector graphics, font licenses, copy, photography) and required third-party API credentials promptly.
• Licensing: The Client warrants that all text, media, and assets provided do not infringe upon any third-party copyrights or trademarks.
• Feedback Cycles: The Client agrees to review milestone deliveries and provide constructive feedback within 5 business days to keep project momentum on schedule.

Ownership and copyright of deliverables follow a clear transfer protocol:

• Full Rights Transfer: Upon receipt of cleared final payment, all custom code, stylesheets, WordPress/Shopify themes, n8n automated workflows, and deliverables created specifically for the project become the exclusive intellectual property of the Client.
• Open-Source Components: Standard third-party libraries, packages, or frameworks (e.g., React, Next.js, WordPress core, Tailwind CSS) remain subject to their respective open-source licenses (e.g. MIT, GPL).
• Portfolio Display: Unless a formal Non-Disclosure Agreement (NDA) is executed prior to commencement, Rohan Shahzad reserves the right to showcase screenshots, case study metrics, and links to the finished work in his professional portfolio.

We pride ourselves on agile adaptation while keeping timelines and budgets strictly respected:

• Included Revisions: Each project phase includes up to two iterative review cycles to adjust styling, layout balance, and micro-interactions within the approved design direction.
• Scope Expansion: New functional requirements, novel third-party API integrations, or architectural pivots requested after project commencement are treated as Change Orders.
• Change Orders: Change Orders are documented with a clear written estimate of additional cost and delivery timeline before any out-of-scope work begins.

Every custom build is delivered with comprehensive post-deployment protection:

• Complimentary Bug Warranty: Every delivery includes a 14 to 30-day post-launch warranty window during which any code defects, responsive layout bugs, or functional errors caused by our code are remediated at zero charge.
• Ongoing Maintenance: Clients requiring continuous WordPress security updates, server monitoring, Shopify Liquid feature expansions, or n8n workflow maintenance can opt into a monthly retainer agreement.

Developer provides services in good faith adhering to top industry standards for web performance, security, and accessibility. Developer is not liable for indirect damages, server downtime caused by hosting providers, or disruptions caused by third-party API changes outside developer control.
